Corporate Governance

D’Ieteren Group ensures its compliance with all regulations on corporate governance. In this context, it applies the 2020 Belgian Corporate Governance Code, which is its reference code.

Corporate Governance Charter

D’Ieteren Group has adopted a Corporate Governance Charter in line with the recommendations of the 2020 Belgian Corporate Governance Code. The implementation of these principles takes also into consideration the particular structure of the company’s share capital, with family shareholders owning the majority and ensuring the continuity of the company since 1805.

A new version of the Corporate Governance Charter has been approved by the Board of Directors on 28 February 2019.

Corporate Governance Statement

Each year, D’Ieteren Group includes a Corporate Governance Statement in its annual report which describes how the company applied the corporate governance rules in the past financial year.

Remuneration Policy

The remuneration policy of D’Ieteren Group is designed to support the company’s long-term performance culture and the creation of long-term sustainable value for its shareholders. It applies to the Directors and the members of the Executive Committee of D’Ieteren Group. The remuneration policy was approved by the Shareholders’ Meeting of 27 May 2021, and will be submitted to the approval of the Shareholders’ Meeting every four years or upon material changes.
